Terms
First pass · 15 September 2026
Short and plain. Where something still needs a lawyer's eye it is marked TODO.
1. The agreement
Kept is made by Ellington Ventures, LLC, a Delaware limited liability company, at 131 Continental Drive, Suite 305, Newark, DE 19713. By using Kept you agree to these terms with that company. If you don't agree, don't use the app.
2. Your account
Kept uses Sign in with Apple and nothing else. Keep your Apple Account secure; anyone who can unlock your iPhone can read what Kept keeps. You can delete your account and its data from Settings inside the app.
3. What Kept does
Kept answers questions on your iPhone and, when you ask it to, looks things up — hotels, flights, restaurant tables, the web. It finds options and hands you a link to finish with the provider.
4. What Kept does not do
Kept does not book, buy, reserve, ticket or pay for anything. It is not a travel agency, and it is not a party to any reservation you make. Every booking is between you and the provider — the airline, the hotel, Expedia, Resy, OpenTable — under that provider's own terms, and their terms govern cancellation, changes and refunds.
5. Results may be wrong
Kept shows what providers report at the moment it asks. Availability, times, seats, ratings and descriptions change constantly and can be stale or simply incorrect by the time you act on them. Prices are the provider's, not ours. We do not set them, guarantee them, or honour them. Check the details on the provider's own page before you pay.
6. Kept can be wrong too
Kept uses AI models. They make mistakes, and sometimes state them confidently. Don't rely on Kept for medical, legal, financial or safety-critical decisions. Read anything important before you act on it.
7. Fair use
Don't use Kept to break the law, to scrape or overload providers, to get around a provider's terms or rate limits, or to attack or reverse-engineer the service. Searches are rate limited; we may slow down or cut off use that looks automated or abusive.
8. Price and payment
TODO — if Kept charges for anything (a paid tier for searches and watches is planned), state the price, the billing period, auto-renewal, and that purchases run through Apple and are subject to Apple's refund policy.
9. Your content
What you write in Kept is yours. We claim no rights in it, and we do not use it to train models. See Privacy for where it lives.
10. No warranty
Kept is provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that any result it returns is accurate or current.
11. Limit of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost bookings, missed flights, lost profits or lost data arising out of your use of Kept. TODO — set the liability cap (e.g. amounts paid in the prior twelve months, or a fixed figure), and add the carve-outs the law requires.
12. Changes and ending it
We may change these terms; if a change matters, the app will say so before it takes effect. You can stop using Kept and delete it at any time. We may suspend or end access for a breach of these terms.
13. Apple
TODO — add the App Store "Licensed Application End User License Agreement" clauses Apple requires, including that Apple is a third-party beneficiary and is not responsible for the app or for support.
14. Governing law
These terms are governed by the laws of the State of New York, without regard to its conflict of laws rules. TODO — Ellington Ventures is a Delaware LLC operating from New York, so confirm whether New York or Delaware law should govern; then choose the venue to match, and decide whether to add arbitration and a class-action waiver. (The LLC's own internal governance follows Delaware law either way — that is automatic and separate from this clause.)
